These Terms & Conditions (“Terms”) apply to your use of the Overseas Formation website and services. By using our website or ordering a package, you agree to these Terms. If you do not agree, please do not use our services.

1. Our services

Overseas Formation provides business support services for founders, such as US company formation, EIN application support, business address and registered agent services, help with business bank and payment account applications, consultation and tax filing support. The exact scope of each package is shown on our website or confirmed with you before you pay.

Many outcomes depend on third parties, including government and state agencies, the IRS, banks, fintech providers, payment platforms such as Stripe and PayPal, and marketplaces such as Amazon and Shopify. These parties make their own decisions at their own discretion. We prepare and submit applications carefully and guide you, but we cannot guarantee approval, specific results or exact timelines. Any timelines we mention are estimates only.

4. Prices and fees

• Prices are shown in US dollars (USD).
• Package prices exclude state filing fees, which vary by state, and any other government or third-party fees. We tell you these before you start.
• Optional add-ons, such as marketplace seller account support, are charged separately and only if you choose them.
• We may change our prices or offers at any time. The price confirmed to you before payment is the price that applies to your order.

5. Payment, cancellation and refunds

Payment details are shared with you by our team, and work begins once payment is confirmed. If you cancel before we start work on your order, we will refund your payment in full. Once work has started or a filing has been submitted, fees for the work already done and any government or third-party fees already paid are non-refundable. If we are unable to deliver a service for reasons within our control, we will refund the part of your payment for the service not delivered.

• Give us accurate, complete and up-to-date information and documents.
• Use our services only for lawful business purposes.
• Respond to our requests promptly, since delays can affect timelines.
• Follow the laws that apply to you and your company, including tax filings, annual reports and ownership reporting. Unless we have agreed to handle a specific filing, ongoing compliance is your responsibility.

7. Prohibited use

You may not use our services for fraud, money laundering, sanctions evasion or any illegal activity, or to provide false information to any authority or provider. We may refuse or stop work, without liability, if we believe a request is unlawful or misleading.

We communicate mainly through WhatsApp and other messaging channels. By contacting us, you agree that we may reply through those channels.

9. Intellectual property

The content, design and branding of this website belong to Overseas Formation. You may not copy, reproduce or reuse them without our written permission. Third-party names and logos shown on this website belong to their owners and are used only to describe platforms we work with. They do not mean those companies endorse us.

10. Limitation of liability

To the fullest extent allowed by law, Overseas Formation is not liable for indirect, incidental or consequential losses, including lost profits, or for delays or decisions made by government agencies, banks, payment platforms or other third parties. Our total liability for any claim related to a service is limited to the amount you paid us for that service.
